Acquisitions and Sales

Our experience with acquisitions and sales ranges from relatively simple transactions to complex projects regarding hotel chains. 

Due to the broad range of our practice, we have the ability to  successfully handle all aspects of any hotel acquisition or sale. including Apartment hotels and resorts, Suite Hotels and resorts, and Hotels structured as condominiums. We provide advice regarding  the negotiation and preparation of all necessary legal documentation and we conduct all necessary due diligence, covering all aspects of a hotel acquisition including title, permits, financial condition, insurance, leasing, management contracts, patents, trademarks, service marks, union, labor issues and regulatory issues.

In addition to handling the acquisition, we also provide assistance in   obtaining all the necessary licenses required for the operation of a hotel or resort.

Examples

  • Provision of legal services and advice to a US company in the hotel and entertainment sectors in relation to the multibillion project of developing an Integrated Resort Casino in Athens which is a landmark major investment project for Greece. The Client has entered into a Joint Venture with one of the leading construction companies in Greece, which has been awarded the multibillion tender issued by the Greek State for the Concession of a wide-range activities Casino Operating License and the development of an Integrated Resort and Casino in the area of the old airport of Athens. Given that the project includes construction of complex buildings to be developed within the Integrated Resort Casino, such as a 5-star Hotel and Casino, Conference Centre, a Concert House, etc., we have provided legal advice in relation to the relevant construction and development agreements. Further, we have provided legal opinions in relation to the Land Agreement concluded between the land owner and the contractor (Concessionaire), which determines the uses of the land and the facilities to be developed.
  • Providing legal advice to a client with regards to the acquisition of a hotel complex and three adjacent plots of land in the island of Evia. Such advice included the drafting of the Shares Purchase Agreement, review of the draft legal due diligence report, and the notarial transfer deeds. Our assistance included also advice regarding the structuring of the transaction and coordination between parties involved. 
  • Provision of legal advice, preparation of legal due diligence reports, including advice on forestial issues as well as issues related to access to the beach and exploitation rights and review of purchase deeds, regarding the acquisition of a hotel complex in Corfu being under liquidation. The acquisition took place through an auction run by the liquidator. Our advice also included assistance and preparation of the participation documents and the submission of the client’s offer, covering the issuance of the participation bond, clients’ legalization documents, etc.  
  • Provision of legal advice and services to an international hotel company with regards to third countries’ citizens and entities investing in Greece by purchasing real estate property in order to be granted with a residence permit (Golden Visa). Drafting reports with regards to the process, the official documents required and the steps to be taken for their entry in the State and for the filling of their application. Drafting reports to third countries’ citizens who owned property in Greece prior to the implementation of the relevant legislation and advising them on the process, the documentation and the steps to be followed in order to be considered as investors and be granted with the right to legally reside in Greece and freely travel within the Schengen area. 
  • Provision of legal advice to a company providing luxury travel and accommodation services, on all its structural and operational legal issues in Greece, including multi-ownership schemes, with regards to their project to acquire hotel apartments in Crete and restructuring it for the purpose of including same in their portfolio.
  • Provision of legal advice to the Client, on its multi-ownership scheme, with regards to a newly acquired Resort in Peloponnese which is being renovated for the purpose of including it in their portfolio.
  • Providing legal advice to a client with regards to the acquisition of a hotel complex and three adjacent plots of land in the island of Evia, including the drafting of the Shares Purchase Agreement, the legal due diligence report and the notarial transfer deeds.

  • Provision of legal advice regarding the participation in the Tender for the acquisition of the KYTHNOS XENIA Hotel installations in the island of Kythnos under the scheme of granting of surface right for a 99 – year term and of two thermal springs under the scheme of concession of use.   • Provision of legal advice to a US Hotel and Entertainment Company with regards to the technical offer requirements and the development aspects of the project tendered by the Greek State for the Concession of a wide-range activities Casino Operating License and the development of an Integrated Resort and Casino in the area of the old airport of Athens. Our advice included inter alia guidance in relation to the legal framework that was enacted particularly for the purpose of regulating the development of the said area.
